By accessing the website asiansurgical.co ("Site") or by placing an order with Asian Surgical Co. ("we", "us"), you agree to be bound by these Terms of Use & Sale ("Terms"). If you do not accept these Terms, do not use the Site or place an order.

The Site is provided for informational purposes for prospective and existing customers. You may browse the Site, download our catalogue, and submit enquiries through the contact form.

You agree not to:

• Use the Site for any unlawful purpose
• Attempt to access restricted areas or interfere with the operation of the Site
• Reproduce, copy, sell, resell or exploit any part of the Site without our written consent
• Use any automated means (scrapers, bots) to extract content, except for legitimate search-engine indexing

We aim for accuracy in all product information, descriptions and images on the Site. However:

• Product specifications may change at the manufacturer's discretion
• Stock availability is dynamic and not guaranteed by Site listings
• Prices are not published on the Site; quoted prices are valid for 7 days unless otherwise stated
• Images may show representative product packaging; actual packaging colour or label may vary

If any material information in our quote or invoice differs from the Site, the quote or invoice prevails.

#### 4.1 Acceptance of orders A purchase order is accepted only on our written confirmation (email or signed acknowledgement). Until then, no contract of sale exists.

#### 4.2 Pricing and credit - Prices are quoted exclusive of GST and delivery unless otherwise stated - Payment terms (cash, NEFT, cheque, credit) are agreed at account opening or on a per-quote basis - Standard credit terms for established hospital and dealer accounts: net-30 days from invoice date - Late payment may attract interest at the rate set in our standard agreement

#### 4.3 Delivery - Local Ahmedabad: same-day or next working day - Pan-India: 24-72 hours by courier, subject to courier service in your area - Delivery costs at actuals, charged on the invoice - Risk passes to the buyer on dispatch from our premises; buyer should arrange transit insurance for high-value orders

#### 4.4 Title Title to goods passes only on full payment.

#### 5.1 Defective products Products defective on receipt — in original sealed packaging — may be returned for replacement or refund within 7 days of delivery. Notify us by phone or email; we will arrange reverse logistics.

#### 5.2 Manufacturer warranty - Consumables: covered against manufacturing defects in the unopened original packaging. - Equipment and devices: manufacturer warranty applies (typically 12 months from purchase, varies by brand). Warranty claims routed through us.

#### 5.3 Non-returnable items The following are not eligible for return except in the case of defect:

• Products opened or used
• Products with broken seal or damaged packaging
• Custom-ordered or non-stock items
• Refrigerated or temperature-sensitive items where the cold chain may have been compromised

All content on the Site — text, images, logos, layout, code — is the property of Asian Surgical Co. or our licensors, and is protected under Indian and international intellectual property law. Brand logos remain the property of their respective owners.

To the maximum extent permitted by Indian law:

• Our total liability for any claim arising out of an order is limited to the value of the affected order
• We are not liable for indirect, incidental, consequential or special damages, including loss of profit, loss of business, or loss of goodwill
• Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Indian law

We are not liable for delay or failure of performance caused by events beyond our reasonable control, including natural disasters, government restrictions, pandemics, courier strikes, manufacturer supply failures, or major IT or telecommunications outages.

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or any order placed with us shall be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat.

We may update these Terms from time to time. Material changes will be notified to existing accounts in writing. Continued use of the Site or placing further orders after the change constitutes acceptance of the updated Terms.
